We operate the online marketplace at synthosy.com (the "Platform") where independent sellers can list and sell digital AI assets including prompts, agents, fine-tuned models, datasets, workflows, tools, and compute resources to buyers worldwide.
By creating an account, accessing, or using the Platform, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, you must not use the Platform.
We may update these terms at any time. Continued use of the Platform after changes are posted constitutes acceptance. We will notify registered users of material changes by email.
You must be at least 18 years of age to use the Platform. By registering, you confirm that you are 18 or over. We reserve the right to terminate accounts where this requirement is not met.
The Platform is available to users worldwide subject to applicable local laws. By using the Platform, you confirm that doing so is not prohibited by the laws of your country of residence.
Synthosy acts as a marketplace operator and payment facilitator. We are not a party to contracts between buyers and sellers. Each sale is a direct contract between the buyer and the seller.
We process payments on behalf of sellers via Stripe Connect. Synthosy charges a 6% platform fee on each completed sale, deducted from the seller's payout. Sellers may optionally pay an additional 4% promotion fee to feature their listings.
When you purchase a digital product on Synthosy, you receive a limited, non-exclusive, non-transferable licence to use that product for your own personal or commercial purposes, subject to any restrictions set by the seller.
Cancellation rights: Under the Consumer Contracts Regulations 2013, you have a 14-day right to cancel digital content purchases. However, by completing a purchase you expressly consent to immediate delivery of the digital content and acknowledge that you waive your right to cancel once delivery has begun.
You may not resell, redistribute, sublicence, or share purchased digital products without the seller's express written permission.
To sell on Synthosy you must complete seller onboarding, connect a Stripe account, and comply with our Acceptable Use Policy. You must be 18 or over and legally entitled to sell the content you list.
By listing a product, you warrant that: (a) you own or have the right to sell it; (b) it does not infringe any third-party intellectual property rights; (c) it is accurately described; and (d) it complies with our Acceptable Use Policy.
Synthosy reserves the right to remove any listing that does not comply with these terms or our policies, without prior notice.
All prices on the Platform are set by sellers. Buyers pay the listed price only — Synthosy does not add surcharges at checkout. Your card issuer or bank may apply their own foreign transaction or currency conversion fees for cross-border payments; these are outside Synthosy's control and are not charged by us.
Payments are processed securely by Stripe. Synthosy never stores your card details. Payments may require Strong Customer Authentication (SCA) in accordance with UK FCA requirements. You may be redirected to verify your identity with your bank during checkout.
Seller payouts are processed via Stripe Connect, typically within 2-7 business days of a completed sale, subject to Stripe's payout schedule. Synthosy deducts its 6% platform fee before remitting payment to sellers.
UK VAT: Where applicable under UK law, VAT may be included in or added to listed prices. Synthosy complies with UK VAT obligations as the deemed supplier for digital services where required.
EU VAT: For buyers in EU member states, VAT on digital services may apply under EU VAT rules. Synthosy will comply with applicable EU VAT obligations as the platform grows into EU markets. EU buyers may see VAT applied at checkout in accordance with their country's rate.
US Sales Tax: Synthosy currently displays prices exclusive of US sales tax. Buyers in US states where sales tax applies to digital goods may be subject to tax obligations under their local law. Synthosy is not currently registered as a sales tax collector in any US state. We will review this obligation as US sales volumes grow.
If you raise a chargeback directly with your bank rather than through our dispute process, we reserve the right to suspend your account pending investigation.
Buyers receive a licence to use purchased content as described above. Ownership of intellectual property in the content remains with the seller unless explicitly transferred in writing.
The Synthosy platform, branding, and all associated technology remain the exclusive property of Synthosy Marketplace Ltd.
You must not: (a) use the Platform for unlawful purposes; (b) upload malicious code or content; (c) attempt to circumvent our fee structure; (d) impersonate others; (e) engage in fraudulent transactions; (f) scrape or harvest data without permission; or (g) list content that violates our Acceptable Use Policy.
Buyers are responsible for ensuring that any products purchased comply with the export control laws of their country, including US Export Administration Regulations (EAR) and any applicable sanctions laws. Synthosy does not screen listings for export control compliance.
We provide a dispute resolution process for purchase-related issues. Buyers may raise a dispute within 14 days of purchase. Synthosy's decision in disputes is final at the platform level, but does not affect your statutory rights.
To the maximum extent permitted by law, Synthosy's total liability to you in connection with the Platform shall not exceed the greater of £100 or the fees paid by you in the 3 months preceding the claim.
We are not liable for: loss of profits; loss of data; indirect or consequential loss; or the acts or omissions of sellers.
Nothing in these terms excludes liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under English law.
These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Notwithstanding the above, if you are a consumer resident in the European Union, the mandatory consumer protection laws of your country of residence will apply in addition to these terms, and you may bring proceedings in the courts of your country of residence.
If you are a consumer resident in the United States, nothing in these terms limits any rights you may have under applicable federal or state consumer protection laws, including any applicable state digital goods legislation.
If you are a consumer in any other jurisdiction, nothing in these terms affects your mandatory statutory rights under the laws of your country of residence.
The Platform is operated from the United Kingdom. We make no representation that the Platform or its content is appropriate or available for use in all countries. Users accessing the Platform from outside the UK do so on their own initiative and are responsible for compliance with local laws.
